Terms of Service

1. About these terms

These Terms of Service ("Terms") govern your use of the Serious Traffic advertising platform, websites, dashboards, ad tags and related services (together, the "Services"), operated by Serious Traffic Media ("Serious Traffic", "we", "us"). By creating an account, placing ad code, or otherwise using the Services, you agree to these Terms, our Acceptable Use Policy, our Privacy Policy and our DMCA Policy, which form part of this agreement.

If you use the Services on behalf of a company, you confirm that you are authorized to bind that company, and "you" refers to that company.

2. Eligibility and access

• You must be at least 18 years old, or the age of majority where you live if that is higher.
• The Services are intended for businesses and professionals, not consumers.
• Access is currently by invitation only. We may accept or decline any application, and may refuse or end service to anyone, at our discretion.
• You must provide accurate account and contact information and keep it up to date.

3. Your account

You are responsible for keeping your login details confidential and for all activity under your account. Tell us immediately at info@serioustraffic.com if you suspect unauthorized access. We are not liable for losses caused by your failure to secure your account.

4. Terms for advertisers

• Prepaid balance. Campaigns run on a prepaid balance. The minimum deposit is $100. We accept crypto, credit card, wire transfer and PayPal. Payment provider fees are borne by you.
• Billing. Your balance is charged according to the pricing model of each campaign (for example CPM or CPC), based on our tracking and statistics.
• Ad content. All ads, landing pages and offers must comply with our Acceptable Use Policy and applicable law. We may review, reject, pause or remove any ad at any time.
• Refunds. Unused balance may be refunded on request, less any payment fees, provided the account is in good standing. Spend on delivered traffic is non-refundable, except where we confirm invalid traffic as described in section 6.
• Chargebacks. Initiating a chargeback or payment reversal for funds already spent is a breach of these Terms and may lead to immediate suspension.

5. Terms for publishers

• Approval. Each website or app you monetize must be approved by us and comply with our Acceptable Use Policy.
• Ad code. Place our code only as supplied and only on approved properties. Do not modify, hide, stack, or auto-reload ads.
• Earnings. Earnings are calculated from our statistics. We pay out once your balance reaches the $100 minimum, via crypto, credit card, wire transfer or PayPal.
• Withholding. We may withhold or reverse earnings attributable to invalid traffic, fraud or a breach of these Terms, and may deduct amounts advertisers are refunded as a result.

6. Traffic quality and invalid activity

We filter traffic for bots and fraud, but no system is perfect. Invalid activity includes bot or automated traffic, incentivized or forced clicks and impressions, self-clicking, hidden or stacked placements, and any traffic generated by misleading users. We decide what counts as invalid activity based on our monitoring and may adjust statistics, balances and payouts accordingly. Advertisers who believe they received invalid traffic must report it within 14 days of delivery.

7. Statistics

Our statistics are the basis for all billing and payouts. If our figures and yours differ, ours prevail unless you show a clear technical error on our side.

8. Taxes

Prices and payouts exclude taxes. You are responsible for any taxes that apply to your use of the Services and to amounts you receive from us.

9. Intellectual property

We own the Services, our software, our brand and our data. You keep ownership of your ads and content, and grant us a license to host, display, test and deliver them as needed to provide the Services. You confirm you have all rights needed for content you submit.

10. Confidentiality

Non-public information about our pricing, traffic sources, partners and platform is confidential. Do not disclose it to anyone else without our written consent.

11. Disclaimer

The Services are provided "as is" and "as available". We do not promise any particular volume, result, revenue or uptime, and we disclaim all implied warranties to the extent allowed by law.

12. Limitation of liability

To the extent allowed by law, we are not liable for indirect, incidental or consequential damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Services is limited to the amount you paid us, or we paid you, in the three months before the claim arose.

13. Indemnity

You will defend and indemnify Serious Traffic against claims, losses and costs arising from your content, your websites or apps, your traffic, or your breach of these Terms or the law.

14. Suspension and termination

You may close your account at any time by emailing us. We may suspend or terminate your account, with or without notice, if you breach these Terms or our policies, if we suspect fraud, or if we stop offering the Services. Sections that by their nature should survive termination, including those on payments owed, liability and indemnity, will survive.

15. Changes

We may update these Terms. We will post the new version on this page with a new date. Continuing to use the Services after a change means you accept the updated Terms.

16. Governing law

These Terms are governed by the laws of the Netherlands. Disputes will be submitted exclusively to the competent court in Rotterdam, the Netherlands.
